Terms of Service

1. Acceptance of Terms
By accessing or using the Verifex API, website, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Description of Service
Verifex provides a real-time sanctions and watchlist screening API. The Service allows developers and businesses to submit names of persons or entities and receive screening results indicating whether those names match entries on publicly available international sanctions lists, including but not limited to OFAC SDN, UN Security Council, EU Consolidated List, UK HM Treasury, and World Bank Debarred lists.
The Service includes access to the screening API, a developer dashboard for managing API keys and viewing usage statistics, and related documentation. The specific features available to you depend on your subscription plan.
3. Account Registration and API Keys
To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Upon registration, you may generate one or more API keys through the dashboard. API keys are sensitive credentials that grant access to the Service on your behalf. You are solely responsible for keeping your API keys secure. You must not share, publish, or embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties.
You agree to notify us immediately at hello@verifex.dev if you become aware of any unauthorized use of your account or API keys. Verifex is not liable for any loss or damage arising from your failure to safeguard your credentials.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service for any purpose that violates any applicable local, state, national, or international law or regulation.
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
- Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable use or circumvents rate limits, unless explicitly permitted by your subscription plan.
- Resell, redistribute, or sublicense access to the API or its results to third parties without prior written consent from Verifex.
- Use the Service to build a competing sanctions screening product.
- Submit requests designed to overload, disrupt, or impair the Service or its infrastructure.
- Use the Service for discriminatory purposes, harassment, or any activity that violates the rights of others.
Verifex reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspending or terminating the violator's account without notice or refund.
5. Important Disclaimer Regarding Compliance
Verifex is a data and technology service, not a legal or compliance service.
The screening results provided by Verifex are derived from publicly available sanctions lists published by government authorities. While we make commercially reasonable efforts to keep our data current and accurate by synchronizing with official sources multiple times daily, we do not guarantee the completeness, accuracy, timeliness, or legal sufficiency of our screening results.
You must not rely solely on Verifex for regulatory compliance decisions. Sanctions screening is one component of a comprehensive compliance program. You are solely responsible for determining your legal and regulatory obligations and for implementing appropriate compliance procedures for your jurisdiction and industry. We strongly recommend consulting with qualified legal counsel regarding your specific compliance requirements.
Verifex does not provide legal advice, and the use of our Service does not create an attorney-client or consultant-client relationship.
THE SERVICE IS NOT A SUBSTITUTE FOR LEGAL ADVICE, COMPLIANCE CONSULTING, OR A COMPREHENSIVE AML/KYC PROGRAM. THE SERVICE DOES NOT GUARANTEE COMPLIANCE WITH OFAC REGULATIONS, EU ANTI-MONEY LAUNDERING DIRECTIVES, UK SANCTIONS LEGISLATION, OR ANY OTHER REGULATORY FRAMEWORK.
Verifex does not guarantee that its screening database contains every sanctioned entity, that all name variations and transliterations will be detected, or that screening results will be free from false positives or false negatives. The nature of sanctions data — including transliteration challenges, name variations, delayed government list publications, and data source limitations — means that no screening system, including Verifex, can achieve 100% accuracy.
You acknowledge and agree that:
- You are solely responsible for determining which sanctions lists and screening requirements apply to your business;
- You will implement additional compliance measures beyond automated screening, including but not limited to manual review processes, enhanced due diligence procedures, and ongoing monitoring;
- You will not hold Verifex responsible for any compliance failures, regulatory actions, fines, or penalties that result from your use of or reliance on the Service;
- You understand that screening results are informational in nature and do not constitute a legal determination of sanctions status;
- You are responsible for maintaining your own records of screening activities for audit and regulatory purposes.
6. Data Accuracy and Timeliness
Verifex aggregates sanctions data from official government sources and PEP data from publicly available open data sources. While we synchronize with these sources multiple times daily, there may be delays between when a government authority publishes an update to a sanctions list and when that update is reflected in our screening database.
Typical synchronization frequencies are:
- OFAC SDN: Every 6 hours
- EU Consolidated List: Every 12 hours
- UN Security Council: Every 12 hours
- UK Sanctions List: Every 12 hours
- Other lists: Every 24 hours
- PEP data: Daily
These frequencies are targets, not guarantees. Actual synchronization times may vary due to government source availability, network conditions, data processing requirements, or other factors. Verifex shall not be liable for any consequences arising from synchronization delays.
You acknowledge that government sanctions lists are themselves not error-free, and that data quality issues in source lists (including duplicate entries, missing aliases, inconsistent transliterations, or delayed publications) are beyond Verifex's control.
7. Payment Terms
Verifex offers both free and paid subscription plans. Paid subscriptions are processed through Lemon Squeezy, our third-party payment processor.
- Billing Cycle: Paid subscriptions are billed on a monthly recurring basis. Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
- Plan Changes: You may upgrade or downgrade your plan at any time through the dashboard. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of the next billing cycle.
- Refund Policy: If you are unsatisfied with the Service, you may request a full refund within 7 days of your initial purchase. After the 7-day period, subscription payments are non-refundable. Refund requests should be sent to hello@verifex.dev.
- Failed Payments: If a payment fails, we will attempt to process the payment again. If payment cannot be collected after reasonable attempts, your account may be downgraded to the Free plan.
- Taxes: All prices are exclusive of applicable taxes unless otherwise stated.
8. API Rate Limits and Quotas
Each subscription plan includes defined rate limits (requests per minute) and monthly screening quotas. The current limits are:

If you exceed your rate limit, the API will return HTTP 429 (Too Many Requests). If you exceed your monthly screening quota, the API will return HTTP 402 (Payment Required) until your quota resets at the start of the next billing cycle or you upgrade your plan.
Verifex reserves the right to modify rate limits and quotas. We will provide reasonable notice before making changes that materially affect existing paid subscribers.
9. Intellectual Property
Our Property: The Verifex platform, including its API, website, dashboard, documentation, screening algorithms, brand, and all related software and technology, is the intellectual property of Verifex and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
Your Data: You retain all ownership rights to the data you submit to the Service and the screening results you receive. We claim no intellectual property rights over the queries you submit or the results returned by the API.
Sanctions Data: The sanctions data used by Verifex is sourced from publicly available government lists. Verifex does not claim ownership of this underlying government data.
10. Termination
You may terminate your account at any time by contacting us at hello@verifex.dev or through the dashboard settings. Upon termination, your API keys will be immediately deactivated and your access to the Service will cease.
Verifex may suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive behavior, or if required by law. In the case of termination for cause, no refund will be issued for any prepaid subscription fees.
Sections of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 9, 11, 12, 13, 14, 15, and 17) will survive any termination or expiration of these Terms.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIFEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, VERIFEX SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR PENALTIES ARISING FROM: (A) YOUR RELIANCE ON SCREENING RESULTS FOR COMPLIANCE DECISIONS; (B) ANY MISSED, INACCURATE, OR INCOMPLETE SANCTIONS MATCHES; (C) REGULATORY ACTIONS, FINES, OR PENALTIES IMPOSED ON YOU OR YOUR ORGANIZATION; OR (D) DELAYS OR INTERRUPTIONS IN THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VERIFEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT VERIFEX SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY REGULATORY FINES, PENALTIES, ENFORCEMENT ACTIONS, LICENSE REVOCATIONS, CRIMINAL PROCEEDINGS, OR ANY OTHER REGULATORY OR LEGAL CONSEQUENCES ARISING FROM YOUR USE OF OR FAILURE TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH CONSEQUENCES RESULT FROM ALLEGED INACCURACIES IN SCREENING DATA, SERVICE INTERRUPTIONS, DELAYED DATA UPDATES, OR ANY OTHER ASPECT OF THE SERVICE.
THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN VERIFEX AND YOU. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.
12. Indemnification
You agree to indemnify, defend, and hold harmless Verifex, its founders, officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use of the Service or any data obtained through the Service;
- Your violation of these Terms or any applicable law or regulation;
- Your reliance on screening results for compliance, business, or regulatory decisions;
- Any claim by a third party that your use of the Service infringes or violates their rights;
- Any regulatory action, fine, penalty, or enforcement proceeding brought against you or your organization in connection with sanctions compliance, anti-money laundering, or related obligations;
- Your failure to implement a comprehensive compliance program beyond the use of the Service.
This indemnification obligation survives the termination of your account and these Terms.
13. Force Majeure
Verifex shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, epidemics, or pandemics;
- Government actions, sanctions, embargoes, or regulatory changes;
- Changes to or unavailability of government sanctions data sources (including OFAC, EU, UN, UK HMT, or any other official data provider);
- Failures or disruptions of third-party infrastructure providers, cloud hosting services, DNS providers, or internet service providers;
- Cyberattacks, distributed denial-of-service attacks, or security incidents affecting our infrastructure or our providers' infrastructure;
- Power outages, telecommunications failures, or hardware failures;
- War, terrorism, civil unrest, strikes, or labor disputes.
During any Force Majeure event, our obligations under these Terms shall be suspended for the duration of the event. We will make commercially reasonable efforts to resume normal operations as quickly as possible and will notify affected users of significant service disruptions.
14. Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VERIFEX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
Unless both you and Verifex agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
VERIFEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF THE SERVICE WILL MEET YOUR EXPECTATIONS.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verifex regarding your use of the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
